Financial Reporting + Pharma & Biotech
Trellus assisted a clinical-stage biopharmaceutical company in determining the fair values of certain equity instruments issued by the company in connection with the filing of their Form S-1. Trellus helped the company establish the fair value of common stock, preferred stock, and warrants and assisted with the development of disclosure statements and responses to SEC requests.
Tax Reporting + Printing & Publishing
Trellus was retained by the estate of a well-known author to determine the fair market value of future royalties attributable to over fifty of the author's works. The analysis was used for federal and state estate tax purposes.
Portfolio Valuation + Private Equity
Trellus regularly assists a private investment firm focused on providing equity and debt capital to lower middle-market companies by establishing the fair value of various debt investments, including term loans, revolvers and convertible debt, and various mezzanine investments, including warrants, collared warrants, puts, and other hybrid instruments, in accordance with ASC 820.
Litigation Support + Investment & Brokerage
Trellus was retained on behalf of several large institutional investors to analyze loss causation relating to the collapse of two structured investment vehicles. Citing Trellus' analysis, the Court upheld the plaintiffs’ allegations, ultimately resulting in what Reuters called “a landmark” settlement with the credit rating agencies, Standard & Poor’s and Moody’s, and Morgan Stanley.
Value Enhancement + Consumer Products & Retail
Trellus was retained by a privately-held consumer products company to develop a roadmap to optimize the value of the company in preparation for the owner’s planned exit. Our recommendations included reducing dependency on the owner through strategic additions to the leadership team and developing a product differentiation strategy to minimize risk of defending a low-cost position.
Transaction Advisory + Construction & Infrastructure
Trellus acted as the exclusive financial advisor to a MEP, civil, and structural engineering firm in connection with its sale to a global private equity firm.
